1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website at www.aizecs.com (the "Site") and the development, consulting, and related services (the "Services") provided by Aizecs ("we," "us," or "our"). By accessing the Site or engaging us for Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our Services. If you are using the Site or Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Aizecs provides software development services, including but not limited to: MVP development, Next.js and full-stack development, codebase refactoring, scaling and optimization, and dedicated developer engagements. Specific scope, deliverables, timelines, and fees will be set out in separate statements of work, proposals, or engagement agreements ("Project Terms"). In the event of conflict between these Terms and any Project Terms, the Project Terms will control for that project.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using the Site or Services, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

4. Your Obligations

You agree to:

  • Provide accurate information and timely feedback, access, and materials necessary for us to perform the Services.
  • Use the Site and Services only for lawful purposes and in accordance with these Terms.
  • Not use the Site or Services to transmit malware, spam, or any unlawful or harmful content, or to violate any applicable law or third-party rights.
  • Not attempt to gain unauthorized access to our systems, networks, or other clients' data.
  • Respect our intellectual property and the intellectual property of third parties.

Failure to comply may result in suspension or termination of Services and access to the Site.

5. Intellectual Property

Our IP: The Site, its content (excluding user-provided content), and our pre-existing tools, methods, and know-how remain our property. We grant you a limited, non-exclusive, non-transferable license to access and use the Site for its intended purpose.

Project deliverables: Ownership of deliverables (e.g., code, designs) will be as set forth in the applicable Project Terms. Unless otherwise agreed in writing, upon full payment for the relevant project, we assign to you the deliverables specifically created for that project, subject to our retention of a license to use pre-existing or generic components, tools, and libraries. You retain ownership of your pre-existing materials, data, and branding that you provide to us.

6. Fees and Payment

Fees for Services will be specified in proposals, statements of work, or invoices. You agree to pay all amounts due in the currency and within the timeframes specified. Late payments may incur interest at a reasonable rate. You are responsible for any taxes (other than our income taxes) that apply to your engagement. Unless otherwise agreed, we may suspend or terminate Services for non-payment.

7. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE ARE NOT RESPONSIBLE FOR THE ACCURACY OR RELIABILITY OF THIRD-PARTY CONTENT, TOOLS, OR SERVICES USED IN CONNECTION WITH OUR WORK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AIZECS, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR, IF NO FEES WERE PAID, ONE HUNDRED U.S. DOLLARS (USD $100)). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless Aizecs and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms or any law; (c) your violation of any third-party right; or (d) any dispute between you and a third party in connection with materials, data, or requirements you provide to us.

10. Termination

We may suspend or terminate your access to the Site or Services at any time for convenience or for breach of these Terms. You may stop using the Site at any time. Provisions that by their nature should survive (including Sections 5–9 and 11–12) will survive termination. Upon termination, your right to use the Site and Services ceases immediately.

11. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms, the Site, or the Services shall be subject to the exclusive jurisdiction of the courts located in India. You waive any objection to venue or jurisdiction in such courts.

Nothing in these Terms prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.

12. Changes to the Terms

We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated by email or a notice on the Site. Your continued use of the Site or Services after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Site and Services.

13. General

These Terms constitute the entire agreement between you and Aizecs regarding the Site and Services and supersede any prior agreements. Our failure to enforce any right or provision does not waive that right or provision. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our prior written consent; we may assign them without restriction. There are no third-party beneficiaries.
